Terms of Service
1. Acceptance
By creating an account or using Memraiq, you agree to these Terms of Service. These terms form a binding agreement between you (or the organisation you represent) and Ri-Tech, the operator of Memraiq. If you do not agree, do not use the platform.
If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
2. Account responsibilities
You are responsible for:
- —Providing accurate registration information and keeping it up to date
- —Maintaining the security of your login credentials
- —All activity that occurs under your account or organisation
- —Ensuring that members you invite comply with these terms
- —Lawful use of workspace data and documents you upload
3. What we provide
Memraiq provides AI-powered document indexing, semantic and graph-based retrieval, and chat functionality grounded in your uploaded documents.
Important: Answers are generated by large language models (currently Anthropic Claude and OpenAI GPT). While the platform is designed to ground responses in your documents, AI-generated content may sometimes be incorrect, incomplete, or misleading. We do not guarantee the accuracy of AI-generated responses. Always verify important information from primary sources.
We do not train our models on your documents or conversation history.
4. Acceptable use
You must not use Memraiq to:
- —Upload or process illegal, harmful, or infringing content
- —Attempt to extract training data from or reverse-engineer AI models
- —Conduct automated abuse of the API (rate limiting applies)
- —Circumvent plan limits, authentication controls, or access boundaries
- —Impersonate other users or misrepresent your identity
- —Violate any applicable laws or third-party rights
5. Plan limits and billing
Usage is metered by tokens consumed in embedding and generation requests. Each plan includes a monthly token allowance.
Free plan: 50,000 tokens per month, 10 documents, 2 members. When your token limit is reached, new chat queries are blocked until the monthly window resets. The window resets on the first day of each calendar month.
Pro plan (GH₵299/month): 2,000,000 tokens per month, unlimited documents, 20 members. Queries continue beyond the included tokens at GH₵75 per additional 500,000 tokens. Overage is billed at the end of the billing period.
Enterprise: Custom limits and pricing scoped through a direct agreement with Ri-Tech.
Subscriptions renew automatically on a monthly basis. You may cancel at any time through your billing settings; your access continues through the end of the current billing period. No refunds are provided for partial periods except where required by law.
Payments are processed by Paystack. By subscribing, you agree to Paystack's payment terms. We may suspend access for failed or disputed payments.
6. Data ownership
You own your documents and content. These terms do not transfer ownership of your content to Ri-Tech.
By uploading documents, you grant Ri-Tech a limited licence to process them for the purpose of providing the service (indexing, embedding, graph extraction, retrieval, and generation). This licence ends when you delete the documents or close your account.
When processing documents, content is sent to third-party AI providers (Anthropic, OpenAI) for embedding and generation. Their data processing terms govern that processing. We do not permit these providers to train on your data.
7. Intellectual property
Memraiq, its code, design, branding, and all platform-generated intellectual property are owned by Ri-Tech. These terms do not grant you any rights to the platform beyond the right to use it in accordance with these terms.
If you provide feedback or suggestions about the platform, you grant Ri-Tech a perpetual, royalty-free licence to use that feedback without obligation to you.
8. Service availability
We aim for high availability but do not guarantee a specific uptime percentage. The platform may be unavailable during maintenance or due to circumstances outside our control (infrastructure provider outages, force majeure events).
We will make reasonable efforts to notify users of planned maintenance windows through the platform or email. Emergency maintenance may occur without advance notice.
9. Limitation of liability
To the fullest extent permitted by applicable law, Ri-Tech is not liable for indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the platform, including losses arising from AI-generated content inaccuracies, data loss, business interruption, or security incidents beyond our reasonable control.
The platform is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Our maximum aggregate liability to you for any claim arising from these terms or use of the platform is limited to the amount you paid us in the twelve months preceding the claim.
10. Termination
You may delete your account at any time from the platform settings. On deletion, your content is removed within 30 days and backups purged within 90 days.
We may suspend or terminate your access for material violations of these terms, non-payment, or activity we reasonably determine to be harmful to the platform or other users. We will attempt to notify you before termination except in cases of serious violations requiring immediate action.
11. Governing law
These terms are governed by the laws of Ghana. Any disputes will be resolved through the courts of Ghana, unless another forum is agreed upon in a separate enterprise agreement.
12. Changes to terms
We may update these terms from time to time. For material changes, we will provide at least 30 days' notice through the platform or email before the new terms take effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms. If you disagree with an update, you may close your account before the effective date.
